Please read them carefully.

By using our website, accepting a quotation, instructing us to begin work, making a payment or otherwise entering into an agreement with Webb Design, you agree to the terms which apply to the relevant service.

Nothing in these Terms affects any statutory rights which cannot legally be excluded.

2. Definitions

In these Terms:

“Webb Design”, “we”, “our” or “us” means the business identified above.

“Client”, “you” or “your” means the individual, company, organisation or other person purchasing or receiving services from us.

“Project” means the website, development work or other work we have agreed to provide.

“Services” means any services supplied by Webb Design.

“Quotation” means a quotation, estimate, proposal, specification, order confirmation or other document describing the Services.

“Website” may refer either to webbdesign.co.uk or a website we create or maintain for a Client, depending on context.

3. Quotations and contracts

Unless stated otherwise, quotations are estimates based on the information available to us at the time.

A contract between you and Webb Design may arise when:

  • you accept a quotation or proposal;
  • you confirm in writing that you wish us to proceed;
  • you pay a requested deposit or invoice;
  • you instruct us to begin work; or
  • we otherwise agree in writing to supply Services.

A quotation may specify additional terms which form part of the agreement.

If a quotation conflicts with these Terms, any specific written terms agreed for that particular Project will take precedence to the extent of the conflict.

Unless otherwise stated, quotations remain valid for 30 days.

We may withdraw or revise a quotation before it has been accepted.

4. Scope of work

The Services included in a Project will be those described in the agreed quotation, specification or written correspondence.

Anything not expressly included should not be assumed to form part of the Project.

Additional work may be quoted or charged separately.

Examples include:

  • additional pages;
  • significant design changes;
  • additional functionality;
  • additional integrations;
  • custom programming;
  • extra content entry;
  • migration work not originally disclosed;
  • additional eCommerce configuration;
  • third-party service configuration;
  • substantial SEO work;
  • copywriting;
  • photography;
  • graphic design;
  • additional revision rounds; and
  • work resulting from changes made by the Client or another supplier.

We will normally inform you where requested work falls materially outside the agreed scope before carrying it out.

5. Client responsibilities

The Client is responsible for providing information and materials reasonably required to complete the Project.

This may include:

  • text;
  • photographs;
  • videos;
  • logos;
  • branding;
  • product information;
  • pricing;
  • policies;
  • business information;
  • login credentials;
  • DNS information;
  • domain access;
  • hosting access;
  • payment-provider information; and
  • decisions or approvals.

The Client must ensure that information supplied to Webb Design is accurate and lawful.

The Client is responsible for reviewing work and providing approvals or feedback within a reasonable period.

Delays in providing content, information, access, feedback or approval may delay the Project.

Webb Design is not responsible for delays caused by the Client or by third parties outside our reasonable control.

6. Client content and intellectual property

You confirm that you have the right to use any text, photographs, videos, logos, trademarks, fonts, software, artwork, music, data or other material you provide to Webb Design.

You grant Webb Design permission to use those materials solely as reasonably necessary to provide the Services.

You are responsible for obtaining any permissions, licences or releases required for material supplied by you.

Webb Design is not responsible for copyright, trademark, privacy or other claims arising from material supplied or specifically requested by the Client unless the issue arises from something Webb Design independently supplied without Client instruction.

7. Content supplied by Webb Design

Unless specifically included in the quotation, Webb Design is not responsible for providing professional:

  • legal advice;
  • financial advice;
  • regulated advice;
  • compliance advice;
  • copywriting;
  • photography;
  • translations; or
  • specialist accessibility auditing.

Any example, placeholder or suggested wording provided by Webb Design should be reviewed by the Client before publication.

The Client remains responsible for ensuring that published claims about its business, products and services are accurate.

8. Website legal compliance

Webb Design may provide technical facilities such as:

  • privacy-policy pages;
  • cookie banners;
  • terms pages;
  • contact-form consent wording; or
  • similar functionality.

Unless we expressly agree in writing to provide specialist compliance services, the Client remains responsible for determining the legal requirements applying to its business and website.

This includes, where applicable:

  • privacy notices;
  • cookie compliance;
  • data protection;
  • consumer law;
  • accessibility requirements;
  • eCommerce regulations;
  • advertising rules;
  • industry-specific regulations;
  • product information;
  • cancellation rights;
  • returns policies; and
  • terms of sale.

Clients should obtain appropriate professional legal advice where necessary.

9. Design and revisions

We will use reasonable care and skill to deliver work consistent with the agreed brief.

Website design is subjective.

Where a quotation includes revisions, those revisions relate to reasonable amendments to the agreed design and scope.

A revision is not a complete redesign or a material change to the original brief.

Substantial changes requested after design or development has begun may be treated as additional work and charged accordingly.

10. Responsive design and browser compatibility

Unless otherwise agreed, websites will normally be designed to work on current mainstream desktop and mobile browsers at the time the website is developed.

It is not practical to guarantee identical appearance across every:

  • browser;
  • device;
  • screen size;
  • operating system; or
  • browser version.

Browser updates and changes made by third-party software providers after delivery may affect website appearance or functionality.

Compatibility with obsolete or unsupported software is not included unless specifically agreed.

11. WordPress

Many websites developed by Webb Design use WordPress.

WordPress is third-party open-source software and is not owned or controlled by Webb Design.

Webb Design cannot guarantee that:

  • WordPress will always remain available;
  • future versions will remain compatible with existing websites;
  • third-party plugins will continue to operate;
  • third-party themes will continue to operate;
  • external APIs will remain available; or
  • future software updates will not require additional development.

Where further work becomes necessary because of changes to third-party software or services after completion, such work may be chargeable unless covered by an active maintenance agreement.

12. Third-party themes, plugins and services

A Project may use third-party:

  • plugins;
  • themes;
  • fonts;
  • APIs;
  • payment providers;
  • booking systems;
  • maps;
  • analytics services;
  • email systems;
  • hosting providers;
  • domain registrars;
  • content delivery networks;
  • security services; or
  • other software and platforms.

Those services remain subject to their own terms, licensing arrangements, prices and availability.

Webb Design cannot control decisions made by third-party providers.

A third party may:

  • change its prices;
  • alter functionality;
  • discontinue a product;
  • change an API;
  • introduce usage limits;
  • change licence terms;
  • experience outages; or
  • stop supporting software.

Webb Design is not responsible for failures caused solely by a third-party provider outside our reasonable control.

Work required to adapt a website because of a subsequent third-party change may be chargeable.

13. Premium software licences

Some websites require paid plugins, themes, fonts, APIs or other licences.

The quotation should specify where such costs are included.

Unless expressly stated otherwise:

  • recurring third-party licence fees are not included indefinitely;
  • licences may need to be renewed;
  • prices are controlled by the relevant third party; and
  • the Client may be required to purchase or maintain its own licence.

Functionality dependent on an expired third-party licence may become unavailable or cease receiving updates.

14. WooCommerce and eCommerce

Where we provide WooCommerce or other eCommerce development, we provide the technical website service agreed in the Project.

The Client remains responsible for:

  • products and services offered;
  • product descriptions;
  • prices;
  • VAT and taxation;
  • delivery terms;
  • stock information;
  • returns;
  • refunds;
  • cancellation rights;
  • age restrictions;
  • prohibited products;
  • payment-provider compliance; and
  • compliance with applicable consumer and eCommerce law.

Payment transactions may be handled by third-party processors such as card processors, PayPal or other payment services.

Webb Design is not a financial institution or payment processor and does not control whether a payment provider accepts, rejects, suspends or limits an account.

15. Search engine optimisation

Where SEO services are included, Webb Design will use reasonable skill and care to implement the agreed SEO work.

However, search engines are independent third parties.

We cannot guarantee:

  • a particular Google ranking;
  • first-page rankings;
  • a specific search position;
  • a particular level of traffic;
  • a particular number of enquiries;
  • a particular number of sales;
  • continued rankings;
  • inclusion in any search index; or
  • the time taken by a search engine to crawl or index a website.

Search engines may change their algorithms, ranking systems and policies at any time.

SEO results can also be affected by competition, website history, content, backlinks, location, user behaviour and factors outside Webb Design’s control.

Any statements regarding potential SEO performance are estimates rather than guarantees unless specifically agreed otherwise in writing.

16. Google services and Site Kit

Where requested, we may assist with services such as:

  • Google Search Console;
  • Google Analytics;
  • Google Site Kit;
  • Google Business Profile;
  • PageSpeed Insights; or
  • other Google services.

These services are operated by Google and are subject to Google’s own availability, policies and terms.

Webb Design cannot guarantee continued availability or specific results from a Google service.

The Client is responsible for maintaining any account that ultimately belongs to the Client.

17. Domains

Where Webb Design assists with registering or managing a domain name, registration remains subject to the rules and terms of the relevant registry and registrar.

Domain names cannot be guaranteed until registration has completed.

Clients are responsible for ensuring that requested domain names do not infringe third-party rights.

Unless otherwise agreed, responsibility for renewing a domain ultimately remains with the Client.

Webb Design is not liable for the loss of a domain where:

  • the Client fails to pay a renewal invoice;
  • the Client fails to respond to renewal requests;
  • inaccurate registration information has been supplied;
  • the registrar or registry suspends the domain; or
  • circumstances outside Webb Design’s reasonable control prevent renewal.

18. Website hosting

Where Webb Design provides or arranges website hosting, we will use reasonable care in providing the service.

However, no internet hosting service can guarantee 100% uninterrupted availability.

Hosting may occasionally be unavailable because of:

  • maintenance;
  • updates;
  • network failures;
  • hardware failures;
  • software faults;
  • malicious attacks;
  • upstream provider failures; or
  • events outside our reasonable control.

We do not guarantee continuous or uninterrupted availability unless a specific service-level agreement has been agreed in writing.

We may perform maintenance where reasonably necessary to maintain security or operation.

19. Hosting usage

Clients must not knowingly use hosting supplied through Webb Design for unlawful, abusive or technically harmful purposes.

Prohibited activity includes:

  • malware;
  • phishing;
  • unlawful material;
  • copyright infringement;
  • unsolicited bulk email;
  • deliberate attacks on other systems;
  • illegal services; or
  • activity likely to damage the reputation, security or operation of our infrastructure or suppliers.

We may suspend affected services where reasonably necessary to protect systems, users or third parties.

Where practical, we will attempt to contact the Client before suspension unless urgent action is required.

20. Maintenance and updates

Unless an ongoing maintenance service is specifically included, delivery of a website does not include indefinite:

  • updates;
  • security monitoring;
  • backups;
  • plugin updates;
  • WordPress updates;
  • content changes;
  • troubleshooting; or
  • technical support.

Where you purchase a maintenance package, its specific inclusions will be set out separately.

Maintenance reduces risk but cannot guarantee that a website will never experience faults, malware, attacks or compatibility problems.

21. Website security

We take reasonable steps to build and maintain websites securely within the agreed scope.

However, no website or computer system can be guaranteed to be completely secure.

Webb Design does not guarantee that a website will never:

  • be attacked;
  • be compromised;
  • experience malware;
  • suffer an unknown software vulnerability; or
  • experience unauthorised access.

The Client must take reasonable care of passwords and administrator credentials.

We are not responsible for security incidents caused by weak, reused, shared or compromised credentials supplied or controlled by the Client.

22. Backups

Where backup services are expressly included, we will take reasonable steps to operate them as described.

No backup system is infallible.

Unless expressly agreed otherwise, Clients should maintain their own copies of critical business data and content.

Webb Design will not intentionally delete Client data without reason, but cannot guarantee recovery of every file or database in every circumstance.

23. Email services

Where Webb Design assists with email accounts or configuration, the email service may be provided by a third party.

We cannot guarantee:

  • uninterrupted email delivery;
  • that every message will be delivered;
  • that every legitimate message will avoid spam filtering; or
  • that third-party mail providers will accept every message.

Email deliverability can be affected by external systems outside our control.

24. Project timescales

Any completion date or timetable is an estimate unless we expressly agree in writing that a particular date is guaranteed.

Timescales may depend on:

  • Client feedback;
  • Client content;
  • access to systems;
  • third-party services;
  • complexity;
  • changes to scope; and
  • matters outside our reasonable control.

We will make reasonable efforts to meet agreed timescales.

25. Projects placed on hold

If a Project becomes inactive because the Client has not provided required information, content, feedback or approval, we may place the Project on hold.

Where a Project remains inactive for an extended period, we may require:

  • outstanding invoices to be paid;
  • a revised delivery schedule;
  • a restart fee where substantial remobilisation is required; or
  • a revised quotation where the scope, software or costs have materially changed.

26. Fees

Fees will be those stated in the applicable quotation, invoice or agreement.

Unless otherwise stated, fees do not include third-party costs that were not known or agreed at the time of quotation.

Additional work may be charged separately.

Prices may change for future work, recurring services or renewals.

Any applicable VAT will be dealt with in accordance with the business’s VAT status and applicable law.

27. Deposits and staged payments

Webb Design may require:

  • an upfront deposit;
  • staged payments;
  • milestone payments;
  • payment before launch; or
  • payment in advance for recurring services.

The applicable payment arrangement will normally be stated in the quotation or invoice.

Work may not begin until a required deposit has been received.

Unless required otherwise by applicable consumer law, payments relating to work already completed or committed costs may not be refundable simply because the Client changes its mind.

28. Invoices

Invoices must be paid by the due date stated on the invoice.

Where no payment date is specified, payment is due within a reasonable period following issue of the invoice.

The Client should raise any genuine dispute concerning an invoice promptly.

Failure to raise a dispute does not remove any statutory rights.

29. Late payment

Where an invoice becomes overdue, Webb Design may take reasonable action including:

  • pausing ongoing work;
  • withholding delivery of unfinished work;
  • suspending non-essential support;
  • suspending hosting or managed services where legally and technically appropriate; and
  • taking steps to recover the outstanding debt.

For business-to-business contracts, Webb Design reserves any rights available under the Late Payment of Commercial Debts (Interest) Act 1998, including the right to claim statutory interest and applicable recovery costs where legally permitted.

We will not exercise contractual rights in a way that removes statutory consumer protections.

30. Ownership before final payment

Unless otherwise agreed, ownership or transfer of Webb Design’s bespoke Project deliverables is conditional on full payment of all amounts due for that Project.

Until full payment is received, Webb Design may withhold final deliverables or transfer of assets to the extent permitted by law.

31. Intellectual property after payment

Once all relevant invoices have been paid, the Client will normally receive the right to use the bespoke website design and materials created specifically for that Client as intended under the Project.

This does not transfer ownership of third-party intellectual property.

Third-party materials may remain subject to their own licences.

Webb Design also retains ownership of:

  • pre-existing code;
  • development tools;
  • generic libraries;
  • reusable components;
  • methodologies;
  • know-how; and
  • other materials developed independently of the Client’s specific Project.

The Client receives whatever licence is reasonably necessary to operate the completed website.

32. Open-source software

Open-source components remain governed by their applicable open-source licences.

Nothing in these Terms attempts to override those licences.

33. Portfolio use

Unless the Client asks us not to for legitimate confidentiality reasons, Webb Design may display completed publicly available work in:

  • our portfolio;
  • case studies;
  • social media;
  • marketing materials; and
  • demonstrations of our work.

We may identify Webb Design as the designer or developer of a website in a reasonable manner where appropriate.

Any request to remove a portfolio reference will be considered reasonably.

34. Website launch

Before launch, the Client should review the website and notify us of any material errors or omissions.

Approval to launch will normally be treated as confirmation that the Client is satisfied that the website substantially matches the agreed scope, subject to any outstanding matters we have separately agreed to resolve.

Minor defects do not automatically entitle the Client to reject an otherwise completed Project.

35. Errors and warranty period

We will use reasonable care and skill when providing Services.

If you identify an error in our work, please notify us promptly and provide sufficient information for us to investigate.

Where the issue results from our failure to deliver the agreed service with reasonable care and skill, we will take reasonable steps to remedy it in accordance with applicable law.

This does not cover issues caused by:

  • Client changes;
  • another developer;
  • third-party updates;
  • expired licences;
  • third-party services;
  • hosting changes;
  • browser changes;
  • malware;
  • compromised credentials;
  • unsupported software; or
  • matters outside our reasonable control.

36. Changes made after delivery

Webb Design is not responsible for defects caused after delivery by changes made by:

  • the Client;
  • Client employees;
  • another developer;
  • another agency;
  • a third-party plugin;
  • a theme update;
  • a hosting provider; or
  • another external service.

We may charge for work required to investigate or correct such problems.

37. Cancellation by business Clients

A business Client may request cancellation at any time.

Unless otherwise agreed, the Client remains responsible for:

  • work completed up to cancellation;
  • work reasonably committed;
  • non-refundable third-party costs;
  • licences purchased specifically for the Project; and
  • any other amounts already properly due under the agreement.

Where a fixed-price Project is cancelled after substantial work has been completed, we may calculate the amount due by reference to the proportion of work completed and reasonable commitments already made.

38. Consumers and the 14-day cancellation period

This section applies only where you are acting as a consumer, meaning an individual acting mainly outside your trade, business, craft or profession, and applicable consumer legislation gives you a right to cancel.

For certain contracts concluded at a distance or away from business premises, you may have a legal right to cancel the contract within 14 days without giving a reason.

For a service contract, the cancellation period will normally end 14 days after the contract is entered into.

If you specifically ask Webb Design to begin providing services during that cancellation period and subsequently cancel, you may be required to pay a proportionate amount for services already provided up to the date of cancellation.

Where a service has been fully performed during the cancellation period following the legally required express request and acknowledgement, the statutory cancellation right may be lost.

Nothing in these Terms limits rights given to consumers by applicable law.

39. Consumer rights

Where you are a consumer, Services must be provided in accordance with applicable UK consumer law.

Among other things, the Consumer Rights Act 2015 requires services to be performed with reasonable care and skill.

Nothing in these Terms excludes or limits any consumer right where doing so would be unlawful.

40. Termination by Webb Design

We may terminate or suspend Services where there is a legitimate reason, including:

  • material breach of these Terms;
  • persistent non-payment;
  • unlawful use;
  • abusive or threatening behaviour;
  • fraudulent activity;
  • serious security risk;
  • repeated failure to provide information necessary for the Project; or
  • circumstances making continued provision unlawful or impracticable.

Where reasonably possible, we will provide notice and an opportunity to remedy the issue before termination.

Immediate action may be taken where required by law or necessary to address an urgent security or abuse issue.

41. Data protection

Each party must comply with applicable data protection laws in relation to personal information for which it is responsible.

Webb Design’s handling of personal information relating to its own website and business is described in our Privacy Notice.

Where we process personal information solely on behalf of a Client, additional data-processing terms may be required depending on the nature of the service.

42. Confidentiality

Where either party receives confidential business information in connection with a Project, that information should not be disclosed to third parties except:

  • where necessary to provide the Services;
  • with the other party’s permission;
  • to professional advisers under appropriate obligations;
  • where the information has legitimately become public; or
  • where disclosure is required by law.

This does not prevent Webb Design from using general experience, skills or know-how gained during a Project, provided confidential Client information is not disclosed.

43. Passwords and account access

Clients should provide separate administrative accounts where practical rather than sharing personal master credentials.

Clients remain responsible for ensuring account details supplied to Webb Design are accurate and authorised.

When access is no longer required, Clients should revoke unnecessary accounts or change sensitive passwords.

Webb Design will take reasonable care when handling credentials but cannot be responsible for a breach caused by credentials being compromised independently of Webb Design.

44. Third-party accounts

Where a Project requires accounts with services such as:

  • Google;
  • domain registrars;
  • web hosts;
  • payment processors;
  • email providers;
  • analytics platforms;
  • social networks; or
  • software vendors,

the Client should normally remain the ultimate owner of the account wherever reasonably possible.

The Client is responsible for complying with the provider’s terms.

45. Availability of webbdesign.co.uk

We aim to keep our own website available and accurate but do not guarantee uninterrupted access.

We may:

  • update the website;
  • change content;
  • remove content;
  • change services;
  • suspend functionality; or
  • carry out maintenance

without liability where reasonable.

46. Information on our website

Information on webbdesign.co.uk is provided for general information about Webb Design and our services.

We take reasonable care over our website but do not guarantee that every piece of information will always be:

  • complete;
  • error-free;
  • current; or
  • appropriate for every user’s circumstances.

Specific contractual commitments will be those contained in an agreed quotation or contract.

47. External links

Our website may link to third-party websites.

Links are provided for convenience or information.

We are not responsible for:

  • third-party website content;
  • third-party privacy practices;
  • third-party availability;
  • products or services supplied by third parties; or
  • losses caused by relying on a third-party website.

48. Limitation of liability

Nothing in these Terms excludes or limits liability where exclusion or limitation would be unlawful.

In particular, nothing excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability which cannot legally be excluded.

Where the Client is acting in the course of a business and to the fullest extent permitted by law, Webb Design will not be liable for indirect or consequential losses including:

  • loss of profit;
  • loss of anticipated savings;
  • loss of business;
  • loss of opportunity;
  • loss of goodwill; or
  • indirect loss of data

where such loss was not a direct and reasonably foreseeable consequence of our breach.

For business Clients, and to the fullest extent permitted by law, our total aggregate liability arising from a particular Project will normally be limited to the total amount paid or payable to Webb Design for the particular Services giving rise to the claim.

This limitation does not apply where the law prohibits such a limitation.

Different rules may apply to consumers, and nothing in this clause limits statutory consumer rights.

49. Business continuity and events outside our control

We will not be responsible for delay or failure caused by circumstances genuinely outside our reasonable control.

These may include:

  • major internet outages;
  • data-centre failure;
  • electricity failure;
  • natural disasters;
  • severe weather;
  • war or civil disturbance;
  • government restrictions;
  • widespread cyber incidents;
  • supplier failure;
  • industrial disputes;
  • telecommunications failure; or
  • other events that could not reasonably have been prevented.

We will take reasonable steps to resume affected Services where possible.

50. No guaranteed commercial results

Unless expressly guaranteed in writing as part of a particular agreement, Webb Design does not guarantee that a website or digital service will produce:

  • a particular number of visitors;
  • a particular Google position;
  • a particular number of enquiries;
  • increased sales;
  • increased revenue;
  • increased profits; or
  • any particular commercial outcome.

Webb Design is responsible for supplying the agreed Services, not for controlling customer demand or third-party behaviour.

51. Non-waiver

If either party does not immediately enforce a right under these Terms, this does not mean that right has been waived.

52. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent legally possible.

53. Entire agreement

For business Clients, the agreed quotation, any written Project specification and these Terms together form the agreement relating to the relevant Services unless otherwise agreed in writing.

Nothing in this clause excludes liability for fraud or prevents reliance on rights which cannot legally be excluded.

54. Changes to these Terms

We may update these Terms periodically.

Changes published on our website will apply to future use of the website and future contracts.

Material changes to an existing Project will not retrospectively replace specific contractual terms already agreed unless both parties agree or the change is required by law.

55. No partnership or agency

Unless expressly agreed otherwise, nothing in these Terms creates:

  • a partnership;
  • joint venture;
  • employment relationship; or
  • general agency relationship

between Webb Design and the Client.

56. Assignment and subcontracting

Webb Design may use trusted contractors, specialists or service providers where reasonably necessary to provide part of the Services.

We remain responsible for our obligations under the applicable contract to the extent required by law.

A Client may not transfer a material contractual obligation to another party without our consent where that transfer would materially affect the Services.

57. Third-party rights

Unless expressly stated otherwise, a person who is not a party to the applicable agreement has no right to enforce its terms.

58. Governing law

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales, subject to any mandatory rights a consumer may have under the laws applicable to them.

59. Jurisdiction

Where the Client is acting in the course of a business, the courts of England and Wales will have jurisdiction over disputes arising from our agreement, unless otherwise agreed.

Consumers may have additional rights regarding where proceedings may be brought, and nothing in these Terms removes those rights.
